The Spire GQG AAM Fund (AUD) (the ‘Fund’) is a unit class of the Spire Capital Master Fund. The Fund is an AUD denominated Australian Unit Trust investing into a US financial services co-investment known as Project Unity. The co-investment is alongside the GQG Private Capital Solutions (‘PCS’) GP Solutions Fund. The co-investment referred to as ASP SPV L.P will be known as the Underlying Fund. The Underlying Fund is a Special Purpose Vehicle (SPV) structured as a Delaware Limited Liability Company (LLC), managed by GQG PCS. Project Unity is a structured investment that aims to capture economics across 3 components of the annuity asset management value chain: asset management, annuities and re-insurance. Antarctica SAF Partners (ASP) is a specialist asset manager for insurance companies. GQG PCS accessed an ownership position in ASP by providing a structured investment to a life insurance company (American Life), including regulatory capital for a reinsurance cell.
